Terms of Service
The conditions governing all web development and consulting engagements with Omnius Cloud Private Limited.
1. Engagement
These Terms govern all web development, design, and consulting services provided by Omnius Cloud Private Limited ('we', 'us') to clients ('you'). An engagement begins upon written confirmation of a signed quotation and receipt of the milestone deposit.
2. Scope & Scope Changes
The agreed scope is defined in the signed quotation document. Features requested after formal contract signature are billed independently at ₹2,500 per hour. We will notify you of scope changes in writing before commencing additional work.
3. Payment Terms
Payments are due per the milestone schedule in your quotation. Standard structure: 40% advance to begin, 30% at design approval, 30% before handover. Payments are non-refundable for completed milestones. GST @ 18% applies to all invoices. Enterprise clients must deduct applicable TDS and issue Form 16A quarterly.
4. Intellectual Property
All source code, databases, and credentials remain the property of Omnius Cloud Private Limited until all milestone payments are settled in full. Upon full settlement, complete IP transfer is effected. Client-supplied assets (logos, images, copy) remain the client's property throughout.
5. External Infrastructure
This rate card covers engineering labour only. Infrastructure costs (domain, hosting, SMS credits, Meta tokens, AWS usage) are the client's direct responsibility and must be funded to the respective providers. We are not liable for outages or policy changes by third-party platforms.
6. Deliverables & Timelines
Estimated timelines are provided in good faith and assume prompt client feedback within 48 business hours of review requests. Delays caused by late feedback, missing assets, or third-party approvals extend delivery timelines accordingly and are not subject to penalties.
7. Warranty & Liability
We warrant that all work is free from material defects for 30 days after final delivery. Our total liability under any engagement is capped at the amount paid for that specific engagement. We are not liable for indirect, consequential, or lost-profit damages.
8. Dispute Resolution
Disputes will be processed via binding arbitration under the Indian Arbitration and Conciliation Act, 1996, within the legal municipal limits of Delhi, India. Both parties agree to attempt good-faith resolution for 30 days before initiating arbitration.
9. Governing Law
These Terms are governed by the laws of India. The courts of Delhi shall have exclusive jurisdiction for any matters not subject to arbitration.
